Red Emu Advisory Pty Ltd Terms and Conditions
These Terms and Conditions apply to advisory work conducted by Red Emu Advisory Pty Ltd ABN 98 609 645 598 “Red Emu” described in this document, for general client management consulting and advisory services.
1. Basis of Quotation and Proposal Preparation
The Client acknowledges that Quotes and Proposals have been prepared in good faith by Red Emu using information supplied by the Client. It is the Client’s responsibility to ensure that information supplied to Red Emu is accurate and complete. The Client understands that if the information supplied by it is not accurate and complete, the advisory services provided by Red Emu may not resolve the issue identified by the Client.
2. Provision of Advisory Service
Red Emu will provide the Advisory Services as described in the quote, proposal and/or invoice as agreed between Red Emu and the client.
The Client will ensure that Red Emu is provided with:
- Sufficient access to relevant Client personnel to collect information, prepare recommendations and implement the agreed program of Advisory Services.
- Access to Client locations as required to provide the Advisory Services
- Copies of or access to relevant Client documentation, policies or other materials to enable Red Emu to effectively provide the Advisory Services.
Red Emu will provide the Advisory Services through its employees or associates. The Client will be advised in advance of which Red Emu employees or associates will be providing the Advisory Services.
Advisory Services will be supplied in a prompt manner by Red Emu. The Client acknowledges that delays from the Client, or inadequate access to personnel or information, may inhibit Red Emu’s ability to deliver the Advisory Services in accordance with the schedule outlined in the Proposal.
3. Payment Terms
The Client will pay Red Emu the Advisory Service fees as agreed in the quote or proposal. Payment will be made via direct credit to Red Emu’s bank account as detailed on invoices.
Standard terms are 14 days from issue of Invoice.
4. Project Scope Changes
Where agreed in writing between Red Emu and the Client, changes to the scope of the Advisory Services provided may be made before commencement or during delivery of the Advisory Services. Any change in scope must also detail changes in project fees which will bind Red Emu and the Client.
5. Project Cancellation
The Client may cancel all or part of the Project at any time. When this occurs, Red Emu will prepare an estimate of costs incurred in delivery of the Project to the point of cancellation and invoice the Client this amount. The Client agrees this is reasonable and will accept these charges.
6. Confidentiality
Red Emu and the Client agree that they will not disclose the confidential information of the counterparty to any third party unless required to do so by law.
7. Limit of Liability
Red Emu’s liability to the Client for any breach of these Terms and Conditions will be limited to the Advisory Services Fees paid by the Client to Red Emu in relation to the work described in the Proposal.
Neither party will be liable to the other party for any consequential loss.
8. Applicable Law
These Terms and Conditions are governed by the laws of Western Australia.
